Please Review the Following Payment Terms for Strategic Leads LLC

Nonexclusive Relationship: Each party acknowledges and agrees that the rights granted to it and the obligations of the parties to one another are non-exclusive, and that, without limiting the generality of the foregoing, nothing in the lead generation structure shall be deemed or construed to prohibit each party from participating in similar business arrangements as those described herein with third parties.

Scrubbing Leads: The parties acknowledge and agree that Strategic Leads LLC shall have the sole right to verify and validate Leads generated from a Company Site and to subsequently determine whether such Leads will be forwarded to any applicable Client. The parties also acknowledge and agree that each Client reserves the right to accept or reject any Leads (even after such Leads have been determined by Strategic Leads to be Valid Leads). The Client will have 30 days to dispute any leads and request a refund in writing.

Website Rights​: Stratrgic Leads LLC shall own and retain all right, title and interest, including and without limitation all Intellectual Property Rights, in and to any website owned by Strategic Leads. Client shall not acquire any right, title, or interest in and to any Strategic Leads LLC Materials, except for the limited use rights while a client of Strategic Leads LLC. Strategic Leads LLC shall own and retain all right, title and interest in and to all information and data of Users it collects and receives via a lead generation website, Form submission, phone calls or any other manner directly from Users and shall not be required to disclose or share any personally identifiable User information to Client.

Force Majeure​: Neither party shall be responsible or have any liability for any delay or failure to perform to the extent due to unforeseen circumstances or causes beyond its reasonable control, including, without limitation, search engine updates, acts of nature, terrorism, earthquake, fire, flood, embargoes, labor disputes and strikes, riots, war, error in the coding of electronic files, Internet or other network (including without limitation mobile phone network or other telecommunications network) “brownouts” or failures, power failures, novelty of product manufacture or other unanticipated product development problems, and acts of civil and military authorities; provided that such party gives the other party prompt verbal or written notice of the failure to perform and the reason therefor and uses its reasonable efforts to limit the resulting delay in its performance.

Payment Terms: For all Leads determined to be Valid Leads, Client will pay Strategic Leads the fees payable to Strategic Leads within thirty (30) days of invoice date.

 Consequences in case of Payment Non-Compliance

If any invoiced amount is not received by Strategic Leads, by the mentioned due date, then the following will be applicable.

1. Those charges may accrue late interest @ 10% of the outstanding balance per month.
2. We may condition future contract renewals/service renewals or suspend our services to you until such amount is paid in full.

Termination

Termination for Convenience​. Either party may terminate this arrangement for any reason or no reason at any time.

Effect of Termination: Upon termination of this agreement, the leads granted to Client shall immediately terminate. Termination of services by either party shall not act as a waiver of any breach of non-payment. Neither party shall be liable to the other for damages of any kind solely as a result of terminating Lead generation services from Strategic Leads.

Terms of Sale

Payments will either be paid in advance for the upcoming month or paid after leads delivered, at the end of each month. Verbal or written agreement will state the payment terms.

Return or Replacement Policy

A refund can be requested in writing within 30 days of payment for singular Lead or Monthly Lead Generation Service if the service provided is not up to the Client’s standards. After 30 days, no refunds will be granted, under any circumstance.

Governing Laws

If a payment dispute arises, the dispute will be brought forth in Westchester County, NY. All legal fees will be paid by plaintiff.
